Agreement

This is a legal agreement ('Agreement') between Leandra Enterprises Inc. ('Company' ''MoneyVerse', 'we,' or 'us') and You ('webmaster/Affiliate”).

You acknowledge and agree that by participating in the Program you are bound by all the Terms and Conditions in this Agreement.
By completing the signup-form at www.moneyverse.com, you are agreeing to be bound by the Program Terms and Conditions of Use,
all applicable laws and regulations, and agree that you are responsible for compliance with any applicable local laws.
If you do not agree with any of these terms, you are prohibited from using or accessing the Program.

Company is agreeing to become a counter-party to this Agreement.
Date of execution being the date on which the form is forwarded to us.

According to terms and conditions laid out in this Agreement, Company warrants the Affiliate:

• The right to refer or send visitors from Your websites, to websites owned or operated by us.

• A limited license to access/download use the promotional materials provided by us to be used on Your website(s) for the sole purpose of advertising/marketing website(s) and service(s) of Company.

• Promotional material (banner ads, hypertext links) provided by us are referred to as an 'authorized link'.
  (This license is revokable at any time at Company's discretion in case Affiliate breaches any Term of this Agreement.)

• To pay you a commission for sales of products or services, generated through an authorized link. Commission fees are defined in the referral fee schedule below. Details and conditions are listed under the Programs page of MoneyVerse.com
  

• Payments are made twice each month through: 

         1.Bank Wire Transfer
         2.Check
         3.Payoneer
         4.Paxum

• Payments are held approximately two weeks.

• Payments from first pay-period of given month are sent between 1st  - 5th of following month,
  whereas earnings from second pay-period of given month are sent out between 16th - 20th of following month. (e.g.: period January 1-15 earnings are paid out February 1-5)

• MoneyVerse does not charge any fees for issuing payments, however different payment methods may impose costs on your end.

• Voiding of lost or uncashed checks is at a cost of $35, which fee is set by the check issuer, not MoneyVerse. Voiding fees always payable by payee.
  (Cashing foreign checks may cost up to $5-$10 each. Some banks do not cash checks under a specific amount. Inquire at your bank first.)

In accordance with the program Agreement, You agree the following:

• You are eighteen (18) or twenty-one (21) years of age or older (depending of the legal age requirements at your place of residence).

• You are not actively performing on www.needlive.com or operate a studio that works for www.needlive.com. Simply put, be either a performer/studio or a webmaster.

• You will not, directly or indirectly link to the Company's website(s) from any website operated by the You or anyone else, containing content or material that Company finds unacceptable.
  
  These include but are not limited to:

• You will not modify, alter, copy any advertising material provided by Company, without written consent.

• These methods include but are not limited to: unsolicited mass email sending, news group entries. So called 'chat-traffic' is not desired either.
  You will not use any method of generating traffic that is considered 'SPAM' with the purpose of directing that traffic to any website(s) owned or operated by the Company.

• Our Fraud department has a very strict policy regarding chargebacks. All chargebacks are deducted from affiliate accounts. Additionally we have measures to filter out likely chargebacks and 'soft-chargebacks', If members match a set of certain user behaviours, associated to a specific affiliate account, we reserve the right to suspend the affilate's account, until further investigations are conducted. Affiliate payout may be put on hold during this period.

Moneyverse.com has a zero-tolerance on 'SPAM'. Company reserves the right to terminate Affiliate's access to the provided services without prior notice, revoking the above mentioned license, with any Affiliate commissions forfeit in case the Affiliate is found to be involved in any fraudulent activity, unsolicited (mass) email based advertisement or other commonly known spamming strategies.

(To put it simple, if you spam you get banned. For life.)

By accessing the website, You indicate acknowledgement and acceptance of the Agreement and the Terms defined herein. These Terms may be subject to change at any time with or without prior written notice, continued use of the Program indicates Affiliate accepts and acknowledges the updated Terms and Conditions of the Agreement.

Click4CE Rules and Regulations:

Sources are accepted by default, so you do not need to wait to start pushing traffic.

However new sources are reviewed on a daily basis and may be restricted if any of the rules are violated or minimum requirements are not met.

In this case you will be contacted to come to a resolution or are endorsed to do so yourself.

Traffic acceptable from: 100% clean sites. Adult oriented traffic acceptable only.

Upon discovery of affiliates cheating, their MoneyVerse account will be immediately closed with any unpaid commissions forfeit.

Click-cheat prevention modules are monitoring incoming traffic 24/7.

Grounds for immediate removal from both the Click4CE and the MoneyVerse affiliate program:

• Sending traffic from sites that contain-, link to-, trade traffic with sites containing child pornography, bestiality, underage, incest, rape, torture. Content must be legal.

• Sending traffic from torrent sites.

• Sending traffic through clickbots, click jacking, traffic generation through any questionable source and method of 'traffic-genaration' from thin air.

• Spyware, ad-ware, malware known or not yet known.

• Any malicious program, computer code, or data-stream, virus, trojan horse, etc. which can cause data corruption or loss, gain control over any given computer and/or send e-mails without the computer owner/operator's knowledge or permission.

• Traffic through popups, popunders, 404s, exit traffic.

Your site must have at least 5k daily traffic. If your site can not send a minimum of 1k traffic per day, contact us for manual approval, otherwise you may be excluded from the Click4CE program and defaulted to REVS regardless of traffic sent.

We pay for UNIQUE clicks. Clicks are regarded unique per visitor per 24 hours.

Current rates and acceptable click geos:

Price: US$2 / 1000 clicks

Traffic is accepted from the following geos:

United States (US), Canada (CA), United Kingdom (UK), Ireland (IE), Austria (AT), Belgium (BE), Denmark (DK), Finland (FI), France (FR), Germany (DE), Italy (IT), Luxembourg (LU), Netherlands (NL), Sweden (SE), Switzerland (CH), Australia (AU), New Zealand (NZ).

Any other geo will be returned to your preset url.

Traffic efficiency is monitored, if freesignup conversions and /or paid conversions greatly differs from our averages we reserve the right to move you to standard REVS upon notice.

That means that the undesired popunders will probably kick you out of the Click4CE program. Stick to clicked and tradescripted traffic for best results.

2011-Q2 averages are freesignup conversion: 1:60, sale conversion: 1:300, with every 20th sale being a new member conversion.
